Item 8.01. Other Events.

On October 5, 2021, U.S. Energy Corp. ("we", "us", "U.S. Energy" or the "Company") issued a press release announcing the entry into three definitive purchase and sale agreements to purchase certain oil and gas assets (the "Acquired Assets") from Lubbock Energy Partners LLC, Synergy Offshore LLC, and certain entities controlled by Sage Road Capital, LLC (collectively, the "Sellers" and the "Transactions").

The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. Additional information about the Transactions will also be included in a subsequently filed Form 8-K.
