Transcontinental inc. announced that it has priced an offering of $200 million aggregate principal amount of 2.667% senior unsecured notes due in February 2025. The Notes are being offered through an agency syndicate consisting of Scotia Capital Inc., BMO Capital Markets, CIBC Capital Markets as joint bookrunners and including, National Bank Financial Inc., RBC Dominion Securities Inc., TD Securities Inc., Desjardins Securities Inc., J.P. Morgan Securities Canada Inc., BofA Securities Canada, MUFG Securities (Canada) Ltd., and Casgrain & Company Limited. The offering is expected to close on or about February 1, 2022, subject to customary closing conditions. Transcontinental Inc. intends to use the net proceeds of the offering to repay existing indebtedness, including repaying the tranche of term loans maturing on November 1, 2022 prior to maturity, and for other general corporate purposes. The Notes will be direct unsecured obligations of Transcontinental Inc. and will rank pari passu with all other unsecured and unsubordinated indebtedness of Transcontinental Inc. The Notes are being offered in Canada on a private placement basis in reliance upon exemptions from the prospectus requirements under applicable securities legislation. The Notes have not been and will not be qualified for sale to the public under applicable securities laws in Canada and, accordingly, any offer and sale of the Notes in Canada will be made on a basis which is exempt from the prospectus requirements of such securities laws.
