Public Notice on the Exercise of Minority Shareholders' Rights
Pursuant to paragraph (2) of Article 41 of the Act on the Corporate Governance of Financial Companies, KB Financial Group Inc. ("KB Financial Group") hereby provides public notice on the exercise of rights by its minority shareholders as set forth below:

Shareholders' rights to make proposals pursuant to Article 363-2 of the Commercial Code ("Shareholders' Rights to Make Proposals") and Article 33-1 of the Act on the Corporate Governance of Financial Companies ("Minority Shareholders' Rights")
Date of receipt of the proposal: Tuesday, September 29, 2020
Proposing shareholders: 7,871 shareholders including Jee Kang Ryu, the head of KB
Financial Group's Employee Stock Ownership Association
(Combined share ownership based on the shareholder registry as of the end of 2019:
0.589% of the total number of outstanding shares with voting rights)
Main contents of the proposal: Appointment of non-executive directors (two candidates proposed)
3. Response to the proposal
After a review of applicable laws and discussions among members of the board of directors, KB Financial Group decided to adopt the entirety of the shareholders' proposal, as agenda items for the general meeting of shareholders.
On October 22, 2020, the board of directors of KB Financial Group resolved to adopt the above proposal as agenda items for the extraordinary general meeting of shareholders scheduled to be held on November 20, 2020.
Accordingly, the agenda items for KB Financial Group's extraordinary general meeting of shareholders are set forth as follows:
Agendum 1. Appointment of an executive director
Executive director candidate: Mr. Jong Kyoo Yoon Agendum 2. Appointment of a non-standing director
Non-standingdirector candidate: Mr. Yin Hur
Agendum 3. Appointment of a non-executive director (proposed by Jee Kang Ryu, the head of KB Financial Group's Employee Stock Ownership Association, and others)
