CALENDARIO DEGLI EVENTI SOCIETARI 2022

Milano, 17 gennaio 2022 - In conformità agli obblighi informativi, Falck Renewables S.p.A. rende noto il calendario degli eventi societari per l'anno 2022

1. A seguito delle riunioni del Consiglio di Amministrazione sono previste delle "conference call" con la comunità finanziaria; gli orari saranno comunicati non appena stabiliti.

La Società comunica che, in conformità a quanto prescritto dalle Istruzioni al Regolamento dei Mercati Organizzati e Gestiti da Borsa Italiana (Titolo IA.2, Sezione IA.2.1, Art. IA.2.1.3), il mese previsto per il pagamento dell'eventuale dividendo relativo ai risultati dell'esercizio 2021 è maggio 2022.

Falck Renewables sottolinea che nessuna decisione è stata presa in merito all'eventuale distribuzione del dividendo 2021 e al suo pagamento, che è rimessa alla competenza esclusiva dell'Assemblea degli Azionisti che sarà convocata il 28 aprile 2022 per l'approvazione del bilancio dell'esercizio chiuso il 31 dicembre 2021, né sulla politica dei dividendi della Società. La presente comunicazione è quindi resa esclusivamente per adempiere a quanto prescritto da Borsa Italiana e non può essere interpretata in alcun modo come una previsione in ordine alla sussistenza dei presupposti per la distribuzione di dividendo.

Eventuali variazioni alle date sopra indicate saranno tempestivamente comunicate al mercato.

Il presente calendario è soggetto, in particolare, ad eventuali sviluppi successivi all'offerta di acquisto obbligatoria che, come comunicato in data 20 ottobre 2021, Infrastructure Investments Fund ("IIF"), veicolo di investimento di cui J.P. Morgan Investment Management è advisor, dovrà promuovere quando verrà perfezionato l'acquisto del 60 per cento del capitale di Falck Renewables di titolarità di Falck S.p.A (l'"Operazione"). IIF, infatti, ha annunciato l'intenzione di perseguire il delisting delle azioni di Falck Renewables nel contesto di tale offerta.

A proposito dell'annunciata Operazione, IIF ha comunicato alla Società che, successivamente a quanto comunicato in data 14 dicembre 2021 circa le condizioni sospensive del contratto tra IIF e Falck S.p.A.,

anche l'autorità FDI spagnola ha disposto l'archiviazione del caso, escludendo che l'Operazione rientri nell'ambito di applicazione della normativa rilevante, mentre l'annunciata Operazione è stata notificata all'autorità FDI inglese e la relativa procedura di autorizzazione è in corso; è, inoltre, decorso il termine di 30 giorni per il silenzio assenso delle autorità antitrust statunitensi mentre è tutt'ora in corso la procedura di autorizzazione da parte della Federal Energy Regulatory Commission statunitense, nel contesto della quale non sono tuttavia pervenute eventuali osservazioni sull'Operazione da parte di terzi nei termini previsti dalla procedura. In linea con quanto annunciato in data 20 ottobre 2021 ed in data 14 dicembre 2021, la Società è stata informata da IIF che, per quanto a sua conoscenza, il closing dell'Operazione è attualmente atteso prima del termine del primo trimestre del 2022.

CORPORATE EVENTS CALENDAR FOR FISCAL YEAR 2022

Milan, 17 January 2022 - In accordance with disclosure requirements, Falck Renewables S.p.A. hereby announces the calendar of corporate events for the year 2022

1. A conference call with institutional investors and equity research analysts will take place following the Board of Directors' meeting; details will be announced in due course.

Falck Renewables informs that, pursuant to the reporting obligations set forth in the Instructions to the Rules of the Markets Organized and managed by Borsa Italiana (Title IA.2, Section IA.2.1, Article IA.2.1.3), May 2022 is the month in which a dividend for Fiscal Year 2021 Financial year, if any, is expected to be paid.

Falck Renewables underlines that no decision has been adopted yet on the distribution of a 2021 dividend or its payment. Any decision in this respect shall be taken by the Shareholders' meeting that will be held on 28 April 2022 to approve the financial statements at 31 December 2021. In addition, no decision has been taken by the Company on its dividend policy. The information herein reported is given for the exclusive purpose of complying with the relevant Borsa Italiana rules and cannot be interpreted or considered in any way as a forecast on the occurrence of the requirements for the distribution of dividends.

Should there be any change to the above schedule, it will be promptly communicated to the market.

This calendar is subject, in particular, to any developments resulting from the mandatory tender offer that, as disclosed on 20 October 2021, the Infrastructure Investments Fund ("IIF"), an investment vehicle advised by J.P. Morgan Investment Management will have to launch following the acquisition of Falck S.p.A.'s 60 per cent shareholding in Falck Renewables (the "Transaction"). IIF has announced its intention to pursue the delisting of Falck Renewables' shares in the context of such offer.

With reference to the announced Transaction, IIF informed the Company that, following the information disclosed on 14 December 2021 regarding the conditions precedent of the agreement

between IIF and Falck S.p.A, also the Spanish FDI authority has closed the file since the transaction does not fall within the scope of the relevant laws, while the announced Transaction has been notified to the UK FDI authority and the relevant authorization proceedings are ongoing; in addition, the 30- day waiting period for the competent US antitrust authorities to take action has expired and the authorization proceeding of the US Federal Energy Regulatory Commission is still ongoing while no third party has submitted any comments on the Transaction within the terms provided for by the procedure. Consistent with our disclosure on 20 October 2021 and on 14 December 2021, the Company has been informed by IIF that to its knowledge the closing of the Transaction is currently expected to occur before the end of the first quarter of 2022.
