            Appointment of Certain Officers; Compensatory Arrangements of Certain
            Officers.

On November 18, 2020, Lucas Bailey, President of Flavors & Ingredients, and a named executive officer of Whole Earth Brands, Inc. (the "Company"), announced his intention to resign from the Company, effective December 4, 2020, in order to pursue an opportunity in private equity. Mr. Bailey's resignation is not a result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices.
