MATERIAL FACT

CPFL Energia S.A. ("CPFL Energia") and its subsidiaries CPFL Geração de Energia S.A. ("CPFL Geração") and CPFL Energias Renováveis S.A. ("CPFL Renováveis") inform, in continuity with the communication made through Material Fact dated of May 21st, 2019, that they concluded, on this date, the second stage of the CPFL Renováveis integration plan through the Corporate Restructuring of the CPFL Group companies ("Corporate Restructuring") (i) the partial spin-off of CPFL Geração with the version of its collection spun-off net for CPFL Renováveis; (ii) the full merger, into CPFL Renováveis, of CPFL Centrais Geradoras Ltda. ("CPFL Centrais Geradoras") and (iii) the capital increase of CPFL Renováveis through the payment of credits by CPFL Geração.

The Corporate Restructuring was approved by the Agência Nacional de Energia Elétrica ("ANEEL") on September 22nd, 2020, through Authorizing Resolutions No. 9.229/2020 and No. 9.230/2020, as well as the proposal was evaluated and approved internally by the Board of Executive Officers and Board of Directors of the companies involved. The new structure strengthens the administrative structures and brings synergies to the group.

As a result of the Corporate Restructuring and as a result of the operations:

1. The Capital Stock of CPFL Renováveis now amounts to R$ 4,032,291,914.16 (four billion, thirty-two million, two hundred and ninety-one thousand, nine hundred and fourteen reais and sixteen cents), divided into 593,782,504 ( five hundred and ninety-three million, seven hundred and eighty-two thousand, five hundred and four) common shares, fully subscribed and paid in;
2. The Capital Stock of CPFL Geração is now R$ 935,782,718.80 (nine hundred and thirty- five million, seven hundred and eighty-two thousand, seven hundred and eighteen reais and eighty cents), divided into 181,789,018,844 (one hundred eighty-one billion, seven hundred eighty-nine million, eighteen thousand, eight hundred and forty-four) common shares, fully subscribed and paid in;
3. There is the extinction of CPFL Centrais Geradoras, with its succession by CPFL Renováveis.
