Appointment of Certain Officers; Compensatory Arrangements of Certain

Officers.

On November 11, 2020, John Stephens announced his intention to retire as Senior Executive Vice President and Chief Financial Officer of AT&T Inc. (the "Company") effective March 31, 2021.

On November 12, 2020, the Company's Board of Directors appointed Pascal Desroches to replace Mr. Stephens as the Company's Senior Executive Vice President and Chief Financial Officer effective April 1, 2021. Mr. Desroches, age 56, was appointed Senior Executive Vice President - Finance of AT&T Inc. on November 12, 2020. Prior to this appointment, he served as Chief Financial Officer of WarnerMedia (June 2018 to November 2020) and before that, he was Executive Vice President and Chief Financial Officer of Turner Broadcasting (January 2015 to July 2018) and Senior Vice President and Controller of Time Warner Inc. (January 2008 to January 2015).
