On November 5, 2020, Amcor plc (the "Company") issued a press release regarding financial results for the first three months of fiscal year 2021. The press release is furnished as Exhibit 99.1 hereto. The Company is also furnishing an investor presentation relating to its first three months of fiscal year 2021 (the "Presentation"), which will be used by management for presentations to investors and others. A copy of the Presentation is attached hereto as Exhibit 99.2 and incorporated into this Item 2.02 by reference. Item 8.01 Other Events

On November 5, 2020, the Board of the Directors of the Company approved a $150 million repurchase of the Company's ordinary shares and of the Company's CDIs. Pursuant to this program, purchases of the Company's ordinary shares and CDIs will be made subject to market conditions and at prevailing market prices, through open market purchases. The Company expects to complete the share buyback by the end of fiscal year 2021; however, the timing, volume and nature of repurchases may be amended, suspended or discontinued at any time.
